Terms & Conditions
These Terms & Conditions ("Terms") govern your use of the software, websites and messaging programs provided by Adomi Software, LLC ("Adomi Software, LLC", "we", "us"). By using our services, or by opting in to our SMS program, you agree to these Terms and to our Privacy Policy.
The services
We provide business software, including a virtual agent that your organization can reach through an in-app chat and by text message. The agent can read and create records in your organization's system on your behalf, within the permissions your organization has given you. The agent prepares drafts and internal records; it does not send documents to your customers, make payments, or publish content.
Accounts and eligibility
You must be at least 18 years old and authorized by your organization to use the services. You are responsible for keeping your login and linked phone number secure and for the activity that occurs under them. Notify us promptly of any unauthorized use.
SMS Terms
Program description. The Adomi Software, LLC SMS program lets verified users text their organization's virtual agent and receive replies, one-time verification codes, and reminders that they or their organization configured. This is a conversational, user-initiated program; we do not send marketing or promotional text messages.
Opt-in. You opt in by entering your mobile number in the application and confirming the one-time code we text you, or by texting your organization's agent number. By opting in you consent to receive the messages described above from Adomi Software, LLC at the number you provided.
Message frequency. Message frequency varies with your use; the agent replies to the messages you send, and reminders are limited to a small number per day.
Message and data rates may apply. Your mobile carrier's standard message and data rates apply to every message sent and received.
Opt-out. Reply STOP to any message to cancel; you will receive one final confirmation message. You can also remove your number in the application. After opting out you will no longer receive messages unless you opt in again.
Help. Reply HELP to any message for assistance, or contact us using the details below.
Carriers. Carriers are not liable for delayed or undelivered messages. Supported carriers include major U.S. carriers; message delivery is subject to effective transmission from your network operator.
Privacy. How we handle your mobile information is described in our Privacy Policy. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes.
Acceptable use
You agree not to use the services to send unlawful, abusive or deceptive content; to attempt to access data you are not authorized to access; to interfere with the operation or security of the services; or to impersonate another person or organization. We may suspend accounts that violate these Terms.
Subscriptions and billing
Paid services are billed to your organization on a recurring basis at the price and included usage shown at sign-up, through our payment processor. Trials convert to paid subscriptions at the end of the trial unless cancelled. Fees are non-refundable except where required by law. Your organization can manage or cancel its subscription through the billing portal.
Your content and data
Your organization owns the records and messages it creates through the services. You grant us the rights needed to host, process and transmit that content to provide the services, including sending it to the service providers named in our Privacy Policy. Replies generated by the agent are produced by automated systems and may contain errors; review them before relying on them.
Intellectual property
The services, including software, design and documentation, are owned by Adomi Software, LLC or its licensors and are protected by intellectual-property laws. These Terms do not grant you any rights other than the right to use the services as described.
Disclaimers
The services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted, error-free or that messages will be delivered.
Limitation of liability
To the fullest extent permitted by law, Adomi Software, LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, arising out of or related to the services. Our total liability for any claim relating to the services is limited to the amount your organization paid us for the services in the twelve months before the claim.
Termination
You may stop using the services at any time. We may suspend or terminate access for breach of these Terms or for conduct that harms the services or other users. Sections that by their nature should survive termination will survive.
Governing law
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Michigan, and you consent to their jurisdiction.
Changes to these Terms
We may revise these Terms from time to time. The effective date above shows the latest revision; continued use of the services after a change means you accept the revised Terms.
